Subscription Terms

​

Per-Request Subscriptions

  1. Per-request subscriptions permit an unlimited number of authorized users.

  2. Each subscription includes the annual volume of signature requests specified in the Order.

  3. If the Customer exceeds the included volume during the Subscription Term, the Subscription will automatically be upgraded to the next applicable volume tier. The Customer will be invoiced for the difference between the fees for the current tier and the upgraded tier.

  4. A signature request may contain multiple documents and multiple signers, subject to platform limits.

  5. Each submitted signature request is counted as one request, regardless of whether it is completed, declined, cancelled, or expires.

  6. Shake IT and/or Dropbox (for dedicated plans) may monitor usage and notify the Customer when usage approaches the included volume.

 

Per-User Subscriptions

  1. Per-user subscriptions include unlimited signature requests.

  2. Additional users may be added at any time during the Subscription Term and will be charged on a pro-rata basis for the remainder of the Subscription Term.

Subscription Commitment

  1. The minimum Subscription Term is twelve (12) months unless otherwise specified in the Order.

Renewals

  1. Shake IT may contact the Customer before the end of the Subscription Term to discuss renewal options.

  2. Failure to provide a renewal reminder does not affect the expiry, renewal, or termination of the subscription.

5. Support and Professional Services

  1. Standard installation and configuration services required to enable the connector's standard functionality are included.

  2. Additional configuration, customization, consulting, training, data migration, integration work, or other professional services will be charged at Shake IT's prevailing rates.

  3. Shake IT will notify the Customer before incurring any additional professional services charges.

 

 

Payment Terms          

1. Fees

  1. All fees are stated in the currency stated on the Order or Quote.

  2. Fees exclude all applicable taxes, duties, bank charges, payment processing fees, and government-imposed charges.

2. Invoicing

  1. Upon acceptance of the Order, Shake IT will issue an invoice and provide available payment options.

  2. Certain payment methods may incur additional processing fees, which will be disclosed before payment.

3. Service Activation

  1. Subject to receipt of payment and completion of any required onboarding information, where applicable, Shake IT will provide access to the Subscription Services, including any required licences, credentials, support, and documentation, commencing on the Subscription Start Date.

4. Payment Default

  1. Invoices are due within fourteen (14) days of the invoice date.

  2. Shake IT may suspend access to the Subscription Services if any undisputed invoice remains unpaid after its due date.

Terms of Service

1. Contract Formation

  1. Acceptance of the Order constitutes agreement to these Subscription Terms and all applicable third-party and Shake IT terms referenced below. Together, these documents form a binding agreement between Shake IT and the Customer.

  2. Where the Subscription is purchased through an authorised reseller, these documents constitute the subscription and licence terms governing the Customer's access to and use of the Subscription Services supplied by Shake IT and are incorporated into the agreement between the Customer and the authorised reseller.

 

2. Order of Documents

In the event of any inconsistency between the documents forming the Agreement, the following order of precedence applies: (a) the Order; (b) these Subscription Terms; (c) the Shake IT Terms of Service; and (d) any applicable third-party terms.

4. Price Changes

  1. Shake IT may adjust subscription pricing upon renewal by providing at least thirty (30) days' written notice prior to the renewal date.

  2. Multi-year subscription terms are available. Subscription fees specified in the Order will remain fixed for the duration of the committed Subscription Term and will not be increased during that term.
