Dropbox and Connector Terms and Conditions

Subscription Terms

  1. Customers must subscribe to at least one product.  The minimum initial Subscription Term is 1 year for yearly subscriptions and 1 month for monthly subscriptions.

  2. For yearly subscriptions Shake IT will contact the Customer before the subscription end date with renewal options.  Monthly subscriptions will automatically renew each month until cancelled.

  3. The Subscription includes the selected volume of signature requests.  Should the client use more than the volume of signature requests within the term, the client will be sent an email with options to up the subscription.

  4. A signature request can include multiple documents and multiple signers (limits apply).

  5. Each time a request is submitted it is counted as one signature request, regardless of whether the request is completed successfully or not.

  6. Shake IT and/or Dropbox (in the case of dedicated plans) will monitor request usage and notify the customer is approach a volume tier limit.

 

Payment Terms

  1. Fees stated in the Quote are in US Dollars (USD) and are exclusive of Sales Tax and any other applicable taxes or processing fees.

  2. Upon acceptance of the Quote, an invoice will be issued by Shake IT to the Customer, which may include additional fees for taxes and order processing fees if applicable.

  3. Upon acceptance of the Quote by the Customer, Shake IT will provide the Customer with access to the applicable Subscription Services, including any access codes, license codes, Support, and Documentation, starting on the Start Date of the Initial Term.

  4. Payment is due 14 days from the invoice date. The Subscription Service will be suspended if payment is not received within 30 days of the Term Start or by the Invoice due date, whichever is later.

 

Terms of Service

  1. Acceptance of this Quote constitutes an Order which is attached to, and incorporates, the terms and provisions of the applicable Terms of Service of Shake IT or its 3rd Party partners.  The terms of this Agreement are in addition to those of the applicable Terms of Service listed below. Any breach of this Order may constitute a breach under each individual Terms of Service and any breach of any individual Terms of Service may constitute a breach of this Agreement:

  2. These Terms form part of the Order for Subscription Services included in the Package. Together, the Order, theses referenced Terms of Services, and all schedules, exhibits, appendices, amendments, addendums, policies, notices, or other agreements, included with this Package, constitute a binding contract between Shake IT and the Customer for the purchase and delivery of the Subscription Services, Support services, Documentation, or other Shake IT products or services listed in the Order.  The terms of this Agreement are in addition to those of the applicable Terms of Service:
